2. Basic provisions

The present General Terms and Conditions (hereinafter referred to as "GTC") govern the use of the services provided by Gergely Jamrik, a sole proprietor (hereinafter referred to as "Service Provider") to the sitementor.hu the terms and conditions for the use of website development, webmaster and maintenance services provided on and off the website.

The contract between the Service Provider and the Customer (hereinafter collectively referred to as the Parties) is concluded upon written (e-mail) acceptance of the individual price offer sent by the Service Provider or upon conclusion of an individual contract signed by the Parties, of which these GTC form an integral part.

3. Maintenance and Webmaster Services

The Service Provider offers maintenance packages for a monthly fee for the operation of the Customer's existing or newly created websites. The service includes (depending on the package) the following:

  • Regular (daily/weekly/monthly) backup of the website database and files.
  • Professional updating of WordPress core system, templates and plugins.
  • Continuous security monitoring, malware filtering and uptime monitoring.
  • Technical assistance and content uploading within a defined timeframe (support).

3.1. Premium Licences Insurance

The Service Provider shall provide the right to use the premium plug-ins necessary for the operation and development of the website through its own agency licenses (e.g. HelloWP) during the term of the maintenance agreement, without any additional charge. The Parties stipulate that in the event of termination of the maintenance contract, these licences may be withdrawn from the website, and the Customer shall be responsible for the purchase of any own licences thereafter.

3.2. Ad hoc Developments

The Service Provider will carry out the development of new functions or major modifications that exceed the monthly maintenance budget on the basis of a separate ad hoc quotation. The ad hoc charges are billed separately from the maintenance charge.

4. Fees and Payment Terms

The Service Provider is exempt from VAT (AAM), so the fees offered and invoiced include VAT 0%.

  • Maintenance fees: The Service Provider will issue an electronic invoice for the monthly maintenance fee by the 5th day of each month.
  • Project fees (Website development): Individual website development projects are typically paid in several instalments (e.g. 50% upfront, 50% on delivery), as set out in the individual contract or quotation.

The Customer is obliged to pay the invoice amount by bank transfer within the payment deadline indicated on the invoice (typically 8 calendar days). In the event of late payment, the Service Provider is entitled to suspend the service or charge interest on arrears at the prevailing base rate of the central bank.

5. Duration and Termination of the Contract

Maintenance and webmaster contracts concluded for an indefinite period may be terminated by either party without giving any reason, in writing (by e-mail). Period of notice 30 days, which shall begin on the calendar day following the day on which the notice of termination is given.

In the event of serious breach of contract (for example, payment arrears exceeding 30 days despite a payment reminder, damage to the reputation of the Service Provider or use of the website for illegal content), the contract may be terminated with immediate effect.

6. Liability and Vis Maior

The Service Provider shall exercise the highest professional diligence in the creation and operation of websites. However, the Service Provider shall not be liable for the following:

  • For data loss or loss of service due to server downtime or errors of the third party providing the web hosting (e.g. Sybell, Mhosting).
  • For errors resulting from unprofessional intervention by the Customer or a third party authorised by the Customer (e.g. incorrect code modification, installation of an unauthorised extension).
  • Force majeure events (natural disaster, war, national internet network failure).

In the event of a failure, the Service Provider is obliged (if a maintenance contract exists) to restore the page from the last intact backup as soon as possible.

7. Copyright and Data Protection

The unique source code and graphic design of the created website is the property of the Service Provider until the full payment of the purchase price. After the full payment of the purchase price, the Customer acquires unlimited right of use of the created product.

The Service Provider shall treat confidentially any trade secrets, passwords and personal data that come to its knowledge in the course of the performance of the contract. The detailed rules for the processing of personal data can be found on the website Data Processing Notice included.
